3. Exclusivity
Exclusivity Clause: Restrictions on promoting competing brands/products during the term of the Agreement and for a specified period thereafter.
4. Confidentiality
Confidentiality Obligations: Requirement to keep proprietary information disclosed by the Company confidential for a specified period.
5. Usage Rights
License Grant: Non-exclusive, royalty-free, worldwide license for the Company to use, reproduce, and display the Content for a specified period.
6. Termination
- Termination for Cause: Conditions under which either party can terminate the Agreement immediately for breach of a material term.
- Termination Without Cause: Provision allowing either party to terminate the Agreement with a specified notice period, including compensation for services completed up to termination.
7. Miscellaneous
- Independent Contractor: Clarification of the Influencer's status as an independent contractor.
- Governing Law: Specification of the governing law applicable to the Agreement.
- Entire Agreement: Statement that this document constitutes the entire agreement between the parties.
- Amendments: Conditions under which the Agreement may be amended.
