Association agrees that it shall defend, hold harmless and indemnify Manager from any and all demands, claims, suits, actions, and legal proceedings brought against Manager in his/her capacity, or in his/her official capacity as agent and employee of the Association, provided the incident arose while the Manager was acting within the scope of his/her employment and excluding criminal litigation and as such liability coverage is within the authority of the Association to provide under state law.
