CONFIDENTIALITY AGREEMENT
In consideration for the disclosure of information generally relating to a device for ________

invented by______________________________, I agree, as a duly authorized representative
of the company or organization named below, to keep such information condential and not to
disclose or use such information for any purpose other than evaluation:
1) Unless such information is known by me or my company prior to the date of
this agreement;
2) Unless written permission is obtained from the inventor or his/her authorized
representative;
3) Until the expiration of ve (5) years from the date of this agreement.
I understand that the transfer of this information shall not be construed as granting a license or any
right of ownership in the information or the invention. I further understand that this agreement
constitutes the entire understanding between the parties relating to the safeguarding of information
transferred, and supersedes all prior related discussions and understandings.
