MINUTES OF THE ANNUAL MEETING OF
THE BOARD OF DIRECTORS OF
TRI-COUNTY CELIAC SUPPORT GROUP
The annual Meeting of the Directors of the Tri-County Celiac Support Group was held on
Thursday, June 27, 2013, at First Presbyterian Church of Farmington.
The following are all of the current members of the Board of Directors.

Marcia Campbell-Gladwell - Director/Vice President Present
Marilyn Bingham -Director/Secretary Present
Debby Katan -Director/Treasurer Present
Diane Moon -Director/Vice President Membership Absent
The following Members of the Corporation were also present:

Margaret Orlando acted as Chairperson of the meeting and Marilyn Bingham as Secretary.
1. Minutes from the Feb. 27, 2013 meeting were read and the motion to accept was made by
Debby and seconded by Marcia. All approved.
2. Minutes from the May 22, 2013 meeting with Tom Sullivan (Lawyer) were read. Marilyn
moved to accept them and Debby seconded. All approved.
3. The chairperson distributed to those present copies of the proposed revisions to the Bylaws of
the Corporation, together with a comparison copy showing what changes were made to the
existing Bylaws. After full discussion, the following Resolution was unanimously passed by
the Board of Directors.
RESOLVED, that the Bylaws of the Corporation in the form presented at this meeting, a copy
which are associated with these Minutes, be and the same hereby are adopted and approved. The
Secretary was directed to make these Bylaws a permanent part of the Corporation’s official records.
The Bylaws will be on the Corporations web site.
The chairperson announced the next order of business was the election of the Directors of the
Corporation. The Directors determined that the number of Directors to be elected at this meeting will
be five. The following individuals were elected, by acclamation, as the new Directors of the Corporation,
to serve for the ensuing year and until their successors are elected and qualified:
