This affiliate agreement template is designed as a complete guide for starting an affiliation program between Advertiser(“Advertiser”) and Affiliate (“Affiliate”). This outlines the terms of the relationship between the two parties including their rights, duties, and obligations.
Objective
The main aim of this affiliate agreement is to create a foundation by which Affiliates can promote the advertiser’s goods or services, thereby receiving commissions upon successful referrals or sales. This Agreement is intended to make sure that the Affiliate appreciates what he/she is supposed to do as part of the Affiliate Program.
Extent
Such provisions apply to all Affiliates who engage in The Affiliate Program and generate referrals or sales through their marketing efforts. Affiliates agree to be bound by such provisions of this Agreement once they have accepted its terms and conditions and shall advertise the advertiser’s products or services according to the guidelines provided herein.
Affiliate Obligations
- Compliance with the Affiliate Program Policies: The Affiliate shall abide by all Advertiser-issued affiliate program regulations and policies. This involves, but is not limited to compliance with advertising restrictions, promotional requirements, or restrictions on the utilization of affiliates’ promotional materials.
- Truthfulness and Integrity: In their representation of the advertiser’s products or services, the affiliate shall always be honest and transparent. Any act of dishonesty in any form like false claims, misleading statements, or unethical behavior will be treated as a substantial breach of this agreement and may result in termination from participation in the affiliate program.
- Legality: In promoting the Advertiser’s goods or services, the affiliate will observe all applicable laws, guidelines, and industry regulations. Such include for example data protection and privacy regulations applicable to Affiliate marketing activities.
- Secrets: All Confidential Information shared during this Agreement will continue being secret and should not be disclosed to third parties without written consent from the Advertiser. An Affiliate must adopt reasonable measures to preserve the confidentiality of any confidential information it receives from the advertiser.
Advertiser has the right to end the Affiliate’s participation in the Affiliate Program anytime with or without cause, upon giving written notice of termination to the Affiliate. Upon such a termination, any promotional activities concerning Advertisers products and services by the affiliate should be stopped and no further payments will be made as a result of sales.
Duties of Advertiser
- Payment of Commissions: This is where bargained-for commissions are paid. The commission is paid within 30 days after month end from where it was earned.
- Support & Resources: The advertiser will provide the support and guidance necessary for affiliates to effectively promote its products or services. These resources may include but are not limited to; promotional materials, marketing materials, training resources, or any other resource that may be devised.
- Accuracy & Relevance: Avail up-to-date information/materials that are in line with selling advertisers’ products. Inconsistency or errors within those marketing materials will constitute a material breach of this Agreement resulting in an immediate termination of your participation as an Affiliate.
This agreement is the complete agreement between the parties and supersedes all previous agreements, understandings, or representations oral or written concerning the subject matter hereof. This Agreement shall be governed by and construed by the laws of the jurisdiction in which the advertiser has its principal place of business.
